In the recent evolution of the European Commercial Law and of the Commercial Law of the main legal systems, not only in Europe, one of the most significant phenomenon is the proliferation of the enterprise organization models.This phenomenon is following three directions: a) introduction of European models besides the national ones; b) introduction of new national models; c) evolution of the existing national models forward an internal division in more and more autonomous sub-models.
The above said proliferation is in contrast, on one side, with the progressive homogeneity and interdipendency of the economic systems and, on the other, within Europe, with the purpose of harmonising company law concerning the protection of shareholders, creditors, employee and thirds. This kind of evolution is particularly evident in the Italian legal system where, following D, Lgs. n. 58/98 and the reform of the Company Law due to D. Lgs. n. 6/2003, the traditional models (società per azioni, società a responsabilità limitata, società cooperativa) have been radically transformed, creating de jure or de facto numerous sub-models. In addition some European models already operational (GEIE) or to be implemented (European Company, European Cooperative Company) will make soon the panorama more various and complicated. The research, actually, falls within other researches carried out by the participants of this project previously that brought to important results, so that it can take advantage of the experience already managed.The research will be conduct using the comparatistic method and the economic analysis of law. The project will analyze economic and juridical aspects of the matter in EU law and in the main legal systems of the western legal tradition.
With reference to single matters of the research will be individuated the different laws, the main doctrinal contributions and the relevant case law in the national and EU legal systems. Then will be elaborated the selected materials, will be pointed out the characteristics of the different systems and the different solutions, explaining the reasons and verifying the coherence between general principles and practical solutions. It will be then possible to value the different experiences, putting into evidence similarities and differences and to individue convergent or divergent trends.
The research will last two years and will be divided into three distinct phases of progressive development, of four months each.
The innovative contribution of the research and consists in the following:
